Instructor Agreement

1. Applying and approval

Anyone may apply. We review applications and the first submission of each instructional before it goes live, and we may approve, reject, request changes, or later suspend an instructor or title at our discretion (for example for quality, safety, rights, or conduct reasons). Approval is not a promise of sales or promotion.

You must be 18 or older, provide accurate information about your rank, lineage and identity, and be legally able to enter this Agreement.

2. Your content and the license you grant

You keep ownership of your instructionals, live broadcasts, cover art, photos and profile text ("Content"). You grant Flowstate a worldwide, non-exclusive, royalty-free license to capture, record, host, encode, transcode, store, stream and display your Content; attach live-event recordings as replay chapters; stream free-preview chapters you designate; and promote your Content on and off the Service, including in marketing and on social media, for as long as the Content is listed and for a reasonable wind-down afterward.

Customers who purchase a title or live-event ticket keep their streaming license for successfully attached content even if you later unlist it or hide the replay from new buyers. You authorize us to keep storing and streaming that content to them, subject to the Terms of Service.

This is not an exclusive deal: you may sell the same or similar material elsewhere.

3. Your promises about the content

You represent and warrant that:

• You own or have all rights needed in every part of your Content, including every live broadcast, music, footage of training partners, logos and third-party material, and our use under this Agreement will not infringe anyone's rights. Do not play third-party music or show other copyrighted material unless you have the rights required for a commercial livestream and recording.
• Everyone who appears or can be heard in your recorded or live Content has consented to the commercial broadcast, recording and distribution of their voice, image and likeness, and you have any releases that are required.
• You have permission from the owner or operator of each gym, venue or other location to broadcast and record there, including any permission needed to show signs, artwork, spectators or venue property.
• Your Content is your own instruction, accurately described, not misleading about your credentials, and does not contain unlawful, hateful, sexually explicit, or dangerous material beyond what is inherent in teaching combat sports.
• You will respond to reasonable takedown or correction requests from us within 5 business days.

4. Live-event responsibilities

You are responsible for setting and keeping an accurate event date, time, duration, price and feed list; obtaining the equipment, connectivity, staffing and venue access needed to broadcast; and deciding promptly whether an event must be rescheduled or cancelled. Update the event listing when plans change.

Rescheduling leaves existing tickets active and does not automatically refund ticket holders. If you cancel an upcoming or live event through the Service, Flowstate attempts a full refund for every active ticket, archives the event product and reverses the related instructor credit. Individual refunds that fail are followed up manually. You agree to cooperate with reasonable refund, customer-support and rights-claim follow-up.

You control whether a successfully attached replay is hidden from new buyers or offered for sale and may set its price. That choice does not remove replay access from existing active ticket holders. You understand that recording or processing may fail and must not promise viewers a replay that the Service has not successfully attached.

5. Revenue share and pricing

You set the list price of each title, live-event ticket and purchasable replay. For every sale we collect the payment, deduct any discount you or we applied, and ordinarily credit you 80% of the amount the customer actually paid; Flowstate ordinarily keeps 20% and absorbs payment-processing fees out of its share. A product-specific revenue-share percentage may override your default percentage for sales of that product. The percentage in effect is applied when the purchase is fulfilled and that split does not change later. Refunds reverse the corresponding credit. Your dashboard shows every sale and what you're owed. Platform-wide promotions that reduce your price below your list will be announced in advance and you may opt a title out.

Refunds and chargebacks on your titles are deducted from your balance; if your balance is negative we may offset it against future sales.

Sales tax, VAT or similar taxes collected from customers are not part of the revenue share.

6. Getting paid

Payouts are made through Stripe Connect. You must complete Stripe's onboarding (identity verification and a bank account) to be paid; Stripe, not Flowstate, holds those details. Each sale remains pending for a 7-day hold before it is eligible for a Stripe transfer. Eligible owed balances above US $1 are included in the daily payout process, subject to refunds, disputes, account status and available funding. Stripe's own Connected Account Agreement applies to you.

Customer charges settle through Authorize.net, so the Stripe balance used for instructor transfers is funded separately from Flowstate's bank account by ACH top-up. When a top-up is needed, it generally takes about 1 to 2 business days to become available; the transfer is then attempted on a later daily run. Stripe and your bank may take additional time to make funds available to you, and these timeframes are estimates rather than guarantees.

You are an independent contractor, not an employee or partner. You are responsible for your own taxes; Stripe or we may issue tax forms (such as a 1099) where required and you agree to provide the information needed for them.

7. Conduct

Treat students respectfully in comments, the forum, messages and live chat. Don't use the platform to recruit customers to off-platform copies of the same titles, scrape customer data, or leave reviews of your own content. Moderation actions you take on your own titles' comments or live-event chat must follow the community rules.

8. Ending the relationship

You may unlist titles at any time; sold copies remain accessible to buyers. Either party may end this Agreement with notice, after which we stop selling your Content and pay any remaining balance on the normal schedule. We may suspend or terminate immediately for breach, fraud, rights claims, or conduct that harms users or the platform; balances may be withheld while a dispute, refund wave or chargeback is resolved.

9. Indemnity, disclaimers and liability

You will defend and indemnify Flowstate against claims arising from your Content, your instruction, or your breach of this Agreement, including rights claims by third parties and injury claims by students. The disclaimers and limitation of liability in the Terms of Service apply equally to this Agreement. We do not guarantee uptime, sales volume, or that your Content will not be pirated, though we use signed, stream-only delivery to deter it.

10. General

This Agreement, the Terms and the Privacy Policy are the entire agreement between us about publishing. We may update it; material changes (including any change to the revenue share) will be notified by email at least 30 days before they take effect.
